Your access to and use of Westlaw is subject to the terms of the agreement below ("Agreement"). To accept the terms and conditions, to be bound by them and to gain access to Westlaw, read the Agreement. If you agree with the terms of the Agreement, select "I Agree" below and click on "GO" to submit the Agreement. If you do not agree with the terms of the Agreement select "I Donít Agree" and click on "GO" and you will not be provided access to Westlaw.

  1. Representations.
    User represents that he or she is currently enrolled as a student or is employed as a member of the faculty, administration or staff ("Personnel") of an academic institution ("Academic Institution") that subscribes to Westlaw under a Schedule A for Educational Institutions (e.g., paralegal programs) price plan.
  2. License.
    1. Grant. User is granted by West, a Thomson business ("West") a non-exclusive, non-transferable, limited license to access Westlaw, which consists of various West-owned and third party databases, services and functions (collectively "Features") that may change from time to time. User is licensed to use data made available on Westlaw ("Data," which includes "Downloaded Data" as defined below), solely for educational purposes directly related to Userís coursework at the Academic Institution or for scholarly research at the Academic Institution at which User is a student or is employed as Subscriberís Personnel ("Educational Purposes"). Any other use, including any use in connection with the employment, internship or externship, is prohibited. Access to certain Features and databases may be restricted by West. Westlaw charges incurred by User for Educational Purposes are waived during the term of this Agreement. The license includes the right to download and temporarily store insubstantial portions of Data ("Downloaded Data") to a storage device under Userís exclusive control solely (i) for Educational Purposes, (ii) to display internally such Downloaded Data and (iii) to quote and excerpt from such Downloaded Data (appropriately cited and credited) by electronic cutting and pasting or other means in work product created by User in the regular course of his or her research. User may also create printouts of Data for personal use and for distribution to another party if such third parties agree not to further distribute the printouts.
    2. Limitations. User may not copy, download, store, publish, transmit, transfer, sell or otherwise use the Data, or any portion of the Data, in any form or by any means, except (i) as expressly permitted by this Agreement, (ii) with Westís prior written permission, or (iii) if not expressly prohibited by this Agreement, as allowed under the fair use provision of the Copyright Act (17 U.S.C.A. § 107). Downloaded Data cannot not be stored or used in an archival database or other searchable database except as expressly permitted by this Agreement or as quoted in Userís work product. User will not sell, license or distribute Data (including printouts and Downloaded Data) to third parties or use Data as a component of or as a basis for any material offered for sale, license or distribution.
    3. Rights in Data. Except for the license granted in this Agreement, all rights, title and interest in Data, in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the exclusive property of West and other contributors.
  3. West Proprietary Data.
    User may, via Westlaw functionality, direct West to transmit West-proprietary documents (i.e., documents not licensed from third parties) in electronic format to a third party if such third party agrees not to further disseminate such documents. Direct transmission of electronic copies by User is prohibited.
  4. is an Internet-based service that provides access to Westlaw. West grants User a non-exclusive, non-transferable, limited license to use User may not reverse engineer, decompile, disassemble or otherwise attempt to discern the source code of the components of nor may user reproduce all or any portion of the components of User may use Westlaw Data cached in Userís local disk drive solely in support of its use of The performance of varies with the manufacturersí equipment with which it is used.
  5. Governing Terms.
    Userís access to and use of Westlaw are governed by the terms and conditions of the Westlaw Subscriber Agreement between the Academic Institution and West ("Subscriber Agreement") and this Agreement. In the event there is a conflict between the terms and conditions of the Subscriber Agreement and this Agreement, the terms and conditions of this Agreement will control.
  6. Reservation of Rights.
    West reserves the right to modify the terms and conditions of this Agreement from time to time, specifically including, but not limited to, the right to impose limitations on use of Features, including usage limitations on Westlaw access and/or offline transmission.
  7. Term and Termination.
    This Agreement will become effective when User clicks on "I Agree" and will continue in effect thereafter until: (i) User is no longer enrolled at the Academic Institution or upon Userís graduation date, whichever occurs first, if User is a student, (ii) User is no longer employed by the Academic Institution, if User is member of Subscriber's Personnel, or, (iii) the Subscriber Agreement between the Academic Institution and West terminates. Notwithstanding anything to the contrary, West may terminate this Agreement and Userís right to access and use Westlaw and at any time. The Academic Institution may terminate this Agreement with respect to a User or Users at any time upon notice to West.
